Acarix publishes prospectus in connection with the company’s rights issue

On 22 November 2022, the Board of Directors of Acarix AB (publ) (“Acarix” or the “Company”) announced that the Board of Directors resolved upon a new issue of shares and warrants ("Units") with preferential rights for the Company's existing shareholders of initially approximately SEK 52.9 million (the "Rights Issue"). The Board of Director's resolution on the Rights Issue was approved by an Extra General Meeting held on 9 December 2022. A prospectus, which has been prepared in connection with the Rights Issue, has today on 14 December 2022 been approved by the Swedish Financial Supervisory Authority (Sw. Finansinspektionen) (the "SFSA") and is available on the Company's web page, https://www.acarix.com/for-investors/rights-issue. The subscription period in the Rights Issue commences tomorrow, Thursday, 15 December 2022.

Publication of the prospectus
Complete information about the Rights Issue is disclosed in the prospectus that has been prepared by the Board of Directors of the Company and which today has been approved by the SFSA. The prospectus is available on the Company's web page (https://www.acarix.com/for-investors/rights-issue) and on Redeye AB's ("Redeye") web page (www.redeye.se) and will also in a couple of days be available on the SFSA's web page (https://fi.se/sv/vara-register/prospektregistret/). The prospectus has only been prepared in Swedish.
 
The prospectus has been prepared as an EU-Growth prospectus in accordance with article 15 in the Regulation (EU) 2017/1129 (the "Prospectus Regulation"). The prospectus has been approved by the SFSA, which is the Swedish competent authority in accordance with the Prospectus Regulation, in accordance with article 20 in the Prospectus Regulation. The SFSA only approves the prospectus as meeting the standards of completeness, comprehensibility and consistency imposed by the Prospectus Regulation. The approval should not be considered as an endorsement of Acarix or as an endorsement of the quality of the shares that are the subject of the prospectus and does not indicate that the SFSA guarantees that the facts in the prospectus are correct or complete. Investors should make their own assessment as to the suitability of investing in the Rights Issue.
 
Subscription period and subscription
The subscription period in the Rights Issue commences tomorrow, Thursday, December 15, 2022. Application forms will be available on the Company's and Redeye's web page respectively.
 
Guarantee and subscription undertakings
The Company has received subscription undertakings from existing shareholders of approximately SEK 2 million, corresponding to approximately 4 per cent of the Rights Issue. No compensation is given for such subscription commitments. Furthermore, the Company has received guarantee commitments from existing shareholders and external investors of approximately SEK 29.7 million, corresponding to 56 per cent of the Rights Issue. As set out by the terms and conditions of the guarantee commitments, the consortium of guarantors ensure that the Rights Issue will be subscribed for up to at least SEK 31.7 million, corresponding to 60 per cent.
 
Lock-up undertakings
In connection with the Rights Issue, the Company’s shareholding board members and management have, towards Redeye, undertaken not to sell their shares in Acarix before the date following 120 days from the publication of the outcome of the Rights Issue. In addition, SEED Capital DK II K/S has undertaken not to sell their shares in Acarix before the date following 60 days from the announcement of the outcome of the Rights Issue.
